Limitation of Liability

To the maximum extent permitted by applicable law, openlines B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount paid by you to openlines in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. openlines disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free service
  • Security or virus-free operation

We do not warrant that our services will meet your specific requirements or that any defects will be corrected.

Indemnification

You agree to indemnify, defend, and hold harmless openlines B.V., its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

Termination

Either party may terminate these Terms of Service at any time with or without notice. openlines reserves the right to suspend or terminate your access to our services immediately if you breach these terms.

Upon termination:

  • Your right to use our services ceases immediately
  • You remain liable for all charges incurred prior to termination
  • Provisions that by their nature should survive termination shall continue in effect

Force Majeure

openlines shall not be liable for any failure or delay in performance under these Terms of Service due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or technical failures.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands.

Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.

Changes to These Terms

openlines reserves the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website and updating the "Last Updated" date.

Your continued use of our services after any changes constitutes acceptance of the new Terms of Service.
